The short version
- These Terms are the agreement between ExpoGenie, Inc. and the business that uses Relay.
- Your company owns its leads, notes and voice notes. We process them only to provide Relay.
- You are responsible for collecting and using lead data lawfully, including getting any consent needed to record someone and following anti-spam rules when you follow up.
- Paid plans are annual, renew automatically, and can be cancelled any time before renewal. We do not give refunds for partial terms.
- AI features and enrichment can be wrong, so check before you rely on them.
1. The agreement
These Relay Terms of Service ("Terms") are an agreement between ExpoGenie, Inc. ("ExpoGenie," "we," "us" or "our") and the company or organization that uses Relay ("Customer" or "you"). They cover the relaymeetings.ai website, the Relay mobile apps, the Relay web app and related services (together, "Relay" or the "Services").
If you accept these Terms on behalf of a company, you confirm that you have authority to bind it. If you use Relay through your company's account, your company is the Customer and you agree to use Relay in line with these Terms.
If your company has signed an order form or other written agreement with ExpoGenie that covers Relay, that agreement controls where it conflicts with these Terms. Event organizers' use of the ExpoGenie platform is governed by their ExpoGenie agreement; section 9 also applies to organizers that offer Attendee Match.
Our Privacy Policy explains how we handle personal information and is part of these Terms.
2. Eligibility and business use
Relay is for business use. You must be at least 18 years old to use Relay. You may not use Relay if you are barred from doing so under applicable law.
3. Accounts and users
- One account per company. Relay is organized as one account per company with unlimited users. People with your company's email domain may be able to join your account. Account admins manage users, roles and billing.
- Accounts created through events. If your company exhibits at an event where the organizer has turned on Relay, we may create a Relay account for your company and invite your listed contacts and booth staff. You can close the account at any time.
- Your responsibilities. Keep account information accurate, keep sign-in methods secure, and tell us promptly at info@expo-genie.com if you suspect unauthorized access. You are responsible for what happens under your account and for your users' compliance with these Terms.
4. Plans
- Free plan. The free plan includes the features and limits described on our pricing page when you use it. We may change, limit or discontinue free plan features with reasonable notice. The free plan comes with no service level commitment.
- Paid plans. Paid plans add features such as higher enrichment limits and CRM sync, as described on our pricing page or in your order form.
- Enrichment allowances. Enrichments included in a plan are available during the current subscription term. Unused enrichments do not roll over, have no cash value and are not refundable.
5. Fees, billing and renewal
- Annual subscriptions. Paid plans are sold as annual subscriptions and billed in advance for each 12-month term.
- Automatic renewal. Your subscription renews automatically for another 12-month term at the end of each term, and we will charge your payment method on file, unless you cancel before the renewal date.
- Cancelling. You can cancel at any time in your account settings or by emailing info@expo-genie.com. Cancellation takes effect at the end of the current term. You keep paid features until then, and your account then moves to the free plan.
- No refunds. Fees are non-refundable. We do not give refunds or credits for partial terms, unused enrichments, downgrades or periods when you did not use Relay, except where the law requires.
- Price changes. We may change prices for future terms. We will tell you at least 30 days before a change applies to your renewal.
- Taxes. Fees do not include taxes. You are responsible for applicable sales, use, VAT and similar taxes, other than taxes on our income.
- Payment. Payments on the web are processed by Stripe, including Apple Pay. If a payment fails, we may suspend paid features or move your account to the free plan until it is resolved.
- App store purchases. If you buy a subscription through an app store, the app store's terms govern billing, renewal, cancellation and refunds for that purchase, and you manage it in your app store account.
6. Your data
- You own your data. As between you and ExpoGenie, your company owns the information you and your users put into Relay or generate with it, including leads, badge and card images, notes, voice notes, transcripts, summaries and other AI output ("Customer Data").
- Our use of it. You give ExpoGenie permission to host, copy, process and transmit Customer Data only as needed to provide, secure and support Relay, as you direct, and as described in our Privacy Policy and any Data Processing Addendum between us. We do not sell Customer Data and we do not use it to train general-purpose AI models.
- Aggregated data. We may use aggregated, de-identified information about how Relay is used, which does not identify you or any person, to operate and improve our services.
- Event organizers. Organizers do not receive your leads, notes or voice notes. They may see that your company uses Relay, whether you bought Attendee Match, and summary counts such as how many leads your company captured at their event.
- Export and deletion. You can export your leads at any time. What happens to Customer Data when an account closes is described in our Privacy Policy.
7. Your responsibilities for lead data
Your company is responsible for the personal information it collects with Relay. In particular, you agree to:
- collect and use lead data only for legitimate business purposes and in line with applicable privacy, data protection and marketing laws;
- give any notices and obtain any consents those laws require;
- follow anti-spam and electronic marketing laws (such as CAN-SPAM, CASL and the GDPR and ePrivacy rules) when you contact people, and honor unsubscribe and opt-out requests;
- not use Relay to collect sensitive information about people, such as health, religion, political views, sexual orientation, government ID numbers or financial account numbers; and
- respond to requests from people whose information you hold, with our reasonable help.
Voice notes and recording. Voice notes are designed for you to record your own notes after a conversation. Do not use Relay to record a conversation with another person unless you have first obtained every consent the law requires. Never record anyone covertly.
8. Enrichment
Enrichment adds business contact details to leads from third-party data providers. Enriched data is licensed to you for your internal business use, such as following up with people you met. You may not resell it, use it to build or sell a contact database, or use it for decisions about anyone's eligibility for credit, employment, insurance or housing. We do not guarantee that enriched data is accurate, complete or current. People can ask us not to enrich their information, and we will honor those requests.
9. Attendee Match
- For exhibitors. Attendee Match is offered by an event's organizer and bought through that event's exhibitor portal. The organizer sets the price and is the seller; ExpoGenie provides the technology. Questions about Attendee Match charges and refunds go to the organizer. Matched details come from the organizer's registration list, so their accuracy depends on the organizer. Use them only to follow up with attendees your team met at that event, and in line with section 7.
- For organizers. An organizer that offers Attendee Match confirms that it has the right to share its registration data with exhibitors in this way, including any notices to and consents from attendees that the law requires. The organizer owns and controls the Google Sheet it connects to Relay, keeps it accurate, and may remove or delete it at any time.
10. AI features
Relay uses AI to read badges and cards, transcribe voice notes and help enrich leads. Badge reading and transcription run on your device. AI output can be inaccurate, incomplete or out of date. You are responsible for reviewing AI output before you rely on it, send it to anyone or sync it to another system. AI features are provided by ExpoGenie with the help of third-party providers as described in our Privacy Policy.
11. Acceptable use
You and your users must not:
- break the law or anyone's rights using Relay, or use it to harass, stalk or surveil anyone;
- send spam or unlawful marketing using data from Relay;
- upload malware or interfere with or disrupt Relay or its infrastructure;
- probe, scan or test the security of Relay without our written permission;
- copy, scrape, reverse engineer or decompile Relay, except where the law allows despite this restriction;
- create multiple accounts or otherwise work around plan limits, or share an account with people outside your company;
- resell or provide Relay to third parties without our written agreement; or
- use Relay to build a competing product.
12. Integrations and third-party services
Relay can connect to services you choose, such as HubSpot, Salesforce or an AI assistant. When you connect one, you authorize us to send Customer Data to it as you direct. Those services are governed by their own terms and privacy policies, and we are not responsible for them. We may change or stop supporting an integration if the third party changes its service.
13. Our intellectual property
ExpoGenie owns Relay, including its software, design, documentation and trademarks. Subject to these Terms, we give you a limited, non-exclusive, non-transferable right to use Relay for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without any obligation to you.
14. Preview features
We may offer features labeled beta, preview or early access. They are provided as is, may change or be removed at any time, and are not covered by any service commitment.
15. Suspension and termination
- You may stop using Relay and close your account at any time.
- We may suspend or limit access if you breach these Terms, fail to pay, or your use creates a security, legal or operational risk to Relay or others. Where reasonable, we will tell you first and give you a chance to fix the problem.
- We may terminate your account for a material breach that is not fixed within 30 days of notice, or immediately for serious or repeated violations of section 11. We may close free accounts with at least 30 days' notice.
- After an account closes, you have 30 days to export your data, after which we delete it as described in our Privacy Policy. Sections that by their nature should survive termination, including sections 6, 7, 13 and 16 to 21, will survive.
16. Disclaimers
RELAY IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, EXPOGENIE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RELAY WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUT, ENRICHED DATA OR ATTENDEE MATCH DATA WILL BE ACCURATE OR COMPLETE.
17. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO EXPOGENIE FOR RELAY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) US $100. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR OBLIGATIONS UNDER SECTION 18, OR YOUR BREACH OF SECTIONS 7 OR 11.
18. Indemnity
You will defend and indemnify ExpoGenie and its officers, employees and agents against third-party claims, and related losses, damages and reasonable legal fees, arising from your Customer Data, your collection or use of personal information with Relay (including recordings and marketing communications), or your breach of sections 7, 9 or 11. We will notify you promptly of any claim, let you control its defense, and cooperate reasonably at your expense.
19. Apple App Store terms
If you download the Relay app from Apple's App Store, these additional terms apply:
- These Terms are between you and ExpoGenie only, not Apple. ExpoGenie, not Apple, is responsible for the app and its content.
- Your license to use the app is limited to Apple-branded devices you own or control, as permitted by the App Store's usage rules.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the app, if any. To the maximum extent allowed by law, Apple has no other warranty obligation for the app.
- ExpoGenie, not Apple, is responsible for addressing any claims relating to the app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, consumer protection or privacy claims, and intellectual property infringement claims.
- You confirm that you are not located in a country subject to a US government embargo or designated as a "terrorist supporting" country, and that you are not on any US government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
20. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms here with a new effective date. For material changes, we will give at least 30 days' notice by email or in the app before they take effect. If you continue using Relay after changes take effect, you accept the updated Terms. If you do not agree, you may cancel before they take effect.
21. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other and negotiating in good faith for at least 30 days. Any claim that is not resolved will be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
22. General
- Entire agreement. These Terms, the Privacy Policy and any order form or DPA between us are the entire agreement about Relay and replace any prior agreements on the subject.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of all or substantially all of our assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Publicity. We may name your company as a Relay customer. You can opt out at any time by emailing us.
- Export and sanctions. You will comply with US export control and sanctions laws in using Relay.
- Notices. We may send notices to the email address on your account. Send notices to us at info@expo-genie.com.
- Other terms. If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it. The parties are independent contractors.
